These Terms of Service ("Terms") are an agreement between you and Prime Commercial Ventures, LLC ("we", "us" or "our"). Doorcount is a brand of, and this service is provided by, Prime Commercial Ventures, LLC, a Nevada limited liability company. They govern your use of the Doorcount Pro website, web app, saved deals, explainers, auction alert emails and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business.
Doorcount Pro is software that lets you save and compare the inputs you enter into Doorcount's deal calculators, read machine-written explanations of the calculator's outputs, and receive email alerts about public auction listings that fit criteria you choose (your "buy boxes"). Doorcount's free calculators and the free weekly Auction Radar email are separate services and stay free.
Doorcount is not a registered investment adviser, broker-dealer, lender, appraiser or real estate broker. Buy-box filtering applies criteria you choose. It is not a personalized recommendation. You are solely responsible for your decisions.
The explainer and some other text in the Service are written by artificial intelligence (AI) from numbers that Doorcount's calculator produces from your inputs. AI-generated text may be inaccurate, incomplete or out of date, and it is not advice. We check the numbers in AI text against the calculator and show a template version when a check fails, but checks can miss errors. The calculator's numbers, not the AI text, are the figures to rely on, and they are estimates based on the inputs you entered. Do not rely on AI text as the basis for any decision.
Alerts come from a once-daily scan of third-party and public sources. When a new listing fits one of your buy boxes, we aim to email you the same day the scan runs (the daily alert run is at 9:00 AM Central, after the morning scan). We do not guarantee the timing, delivery, accuracy or completeness of any alert. Alerts may be late, missing, or wrong, and auctions may be postponed, cancelled or changed without notice. We do not promise that every matching auction will be found. Listings belong to their sources; always check the source page and do your own diligence. You can pause or unsubscribe from alerts at any time, and every alert includes a one-click unsubscribe link.
Doorcount's operator and its affiliates invest in multifamily real estate and may bid on, acquire or hold interests in properties featured in the Service, including after an alert is sent. We exclude properties we are actively pursuing at the time an alert or issue is sent, and alerts apply the same pursued-property exclusion as the Auction Radar. We do not guarantee that we will not compete with you for a property.
We do not represent any buyer or seller, and we accept no commissions, finder's fees or success fees. Third-party listings belong to their platforms; we link to them and do not republish their photos, descriptions or data verbatim. Paid content is licensed for your own personal or internal business use. Do not forward, resell or republish it.
You sign in with a private access code, which we show once at sign-up. Keep it secure; anyone with your code can use your account. You must give a valid email address. We use it for alerts you turn on and for account emails (welcome, trial reminder, code recovery if you enable it, and account closure).
Free plan. $0. Includes 3 saved deals, side-by-side compare of 2 deals, 1 explainer per month and print views. It does not include auction alerts. We may change Free plan features or limits with notice.
Doorcount Pro. $19 per month or $190 per year, plus any applicable taxes. Includes up to 100 saved deals, compare of up to 4 deals, 30 AI explainers per month (fair use; re-opening an unchanged explainer does not count), and up to 3 buy boxes with same-day auction alerts.
Doorcount Bundle (Pro + Repair Desk). $29 per month or $290 per year, plus any applicable taxes. One license key activates Doorcount Pro and Doorcount Repair Desk. Repair Desk is also governed by its own terms.
Free trial. 14-day trial with up to 100 saved deals, compare up to 4, 10 AI explainers total, and 1 buy box with same-day alerts. No payment details are collected for the trial, and the trial never converts to a paid subscription on its own. When it ends, your account moves to the Free plan unless you activate a license. Your data is kept: saved deals above the Free limit stay readable and printable but can't be edited until you upgrade or delete some, and buy boxes pause rather than being deleted.
You will not use the Service to send spam, harass anyone, upload unlawful or infringing content, interfere with the Service, probe or bypass its security or rate limits, scrape it, or access other users' data. We may suspend or close accounts that violate these Terms.
You own the deal inputs, notes and buy boxes in your account ("Your Data"). You give us permission to host, process and transmit Your Data only as needed to provide and improve the Service and as described in our Privacy Notice. When you close your account in Settings, your saved deals, explainers, buy boxes and alert history are deleted right away.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ITS CALCULATIONS, EXPLANATIONS, AI-GENERATED TEXT OR ALERTS WILL BE ACCURATE, COMPLETE, TIMELY, UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY EMAIL WILL BE DELIVERED.
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) PRIME COMMERCIAL VENTURES, LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DEPOSITS, LOST OPPORTUNITIES OR LOST DATA, ARISING FROM OR RELATED TO THE SERVICE, INCLUDING ANY BID, PURCHASE, FINANCING OR OTHER DECISION, RELIANCE ON CALCULATIONS OR AI-GENERATED TEXT, OR MISSED, LATE OR INCORRECT ALERTS; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. IF YOU USED ONLY THE FREE PLAN OR A TRIAL, THAT AMOUNT IS $0. These limits apply whatever the legal theory and even if we were told such damages were possible. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
You will defend, indemnify and hold harmless Prime Commercial Ventures, LLC from claims, losses and expenses (including reasonable attorneys' fees) arising from your use of the Service, your decisions, Your Data, or your breach of these Terms or of law.
We may update these Terms. If a change is material, we will notify you by email or in the app before it takes effect. Continued use after the effective date means you accept the updated Terms. You may close your account at any time in Settings. We may suspend or end the Service, or your access, with reasonable notice where practical, or immediately for violations or security reasons. Sections 2, 3, 4, 5, 6, 12, 13, 14 and 16 survive termination.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising from or related to these Terms or the Service will be brought exclusively in the state or federal courts located in or serving Comal County, Texas, and you and we consent to the personal jurisdiction of those courts.
These Terms and the Privacy Notice are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
